End-User License Agreement (EULA)

This EULA is between you ("Licensee," a medical practice or provider) and VeriPhy Health, LLC ("Licensor"). By installing or using VeriPhy Health ("the Software"), you agree to these terms.

1. License grant

Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software on computers owned or controlled by a single practice location (or the number of locations stated on your invoice), solely to verify insurance eligibility for that practice's own patients.

2. Restrictions

• You may not resell, sublicense, rent, share, or redistribute the Software.
• You may not decompile or reverse-engineer it except as permitted by law.
• You are responsible for using each payer portal in accordance with that portal's own terms of use and for maintaining your own portal credentials. The Software stores no credentials; you log in yourself.
• You will use the Software only for lawful purposes and only for patients of your own practice.

3. Ownership

The Software is licensed, not sold. Licensor retains all intellectual-property rights. Any verification results the Software produces belong to you.

4. Updates & support

Payer portals change over time. Updates and support are provided only under an active Care or Updates plan, if purchased. Without such a plan, the Software is provided as-is at the version you received.

5. Term & termination

This license continues until terminated. It terminates automatically if you breach it. On termination you must stop using and delete the Software.

6. No warranty; limitation of liability

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. Licensor does not warrant that eligibility results are accurate, complete, or current — payer data can be wrong, delayed, or change by date of service. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM, AND LICENSOR IS NOT LIABLE FOR DENIED CLAIMS, LOST REVENUE, OR OTHER INDIRECT OR CONSEQUENTIAL DAMAGES. You remain responsible for independently confirming benefits before relying on them.

Terms of Service (website & purchases)

By using this website or purchasing VeriPhy Health you agree to these terms.

• Orders. Prices are in USD. A license is delivered as a download after payment. Every purchase includes a free first month of Care & Support. Care & Support then runs as a 6-month plan billed monthly; Annual Updates is billed once per year. [ATTORNEY: confirm auto-renewal and mid-term cancellation terms.]
• Eligibility to buy. VeriPhy Health is sold to U.S. medical practices and providers, not consumers.
• Acceptable use. You will not misuse the website or attempt to disrupt it.
• Changes. We may update pricing, features, and these terms; material changes will be posted here.
• Governing law. Florida law governs, venue in Miami-Dade County, Florida.

Privacy Policy

Patient data (PHI)

VeriPhy Health runs entirely on your own computer. It does not transmit patient information to VeriPhy Health or any VeriPhy Health server. Verification results are saved only into a folder on your machine. Your patients' data goes only to the payer portals you sign into yourself — the same portals your staff already uses. Because VeriPhy Health does not receive or store PHI through the Software, it does not act as your Business Associate for use of the Software; you remain the custodian of your patients' data.

Website & account data

When you contact us or buy a license we collect what you provide (name, practice, email, phone) and standard payment details processed by our payment provider (Stripe); we do not store full card numbers. We use this only to sell and support VeriPhy Health. We do not sell your information.

Support sessions

If you request support, do not send us patient information. Share only screenshots with patient details removed.

Refund Policy

• Software license (one-time). Because the Software is a downloadable product, [describe: e.g. "we offer a [14]-day refund if it will not run on a supported Windows PC and we cannot resolve it with you"]. [ATTORNEY: define the exact window and conditions.]
• Care & Support (6-month plan). Your first month is free. After that the plan is a 6-month commitment; you may decline to renew before the next term. [ATTORNEY: define whether the 6-month term can be cancelled early and any pro-rating.] Annual Updates is a one-year term.
• Mini-PC. Hardware returns follow [state your hardware return terms].

It does not guarantee coverage, payment, or accuracy, and it does not replace your obligation to confirm benefits with the payer before providing or billing services. It does not process prior authorizations and does not determine whether your provider is in a patient's network.

Your portal accounts. You are responsible for complying with each payer portal's terms of use and for the security of your own login credentials.
